Welcome to Mentawise! These Terms of Service (“Terms”) govern your access to and use of our online SaaS platform, our websites, software, and other services we offer (collectively, the “Service”). Please read these Terms carefully.

By registering for or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Description of the Service

Mentawise is a Knowledge Graph Engine that allows users to create, manage, and populate private and shared content spaces. The Service includes features for collaboration, knowledge organization, and AI-powered content generation. The exact range of features may vary depending on the selected subscription plan (free or paid).

2. Registration and User Account

1. Account Creation: To use the Service, you must create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
2. Account Security: You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
3. Minimum Age: You must be at least 16 years old (or the age required in your country to consent to the processing of personal data) to use the Service.

3. User Content and Intellectual Property

1. Your Content: All content that you create, upload, or store on the platform, including text, images, and other files (“User Content”), remains your property. However, you grant us a limited, worldwide, royalty-free license to use, reproduce, display, and distribute your User Content to the extent necessary to provide and operate the Service.
2. Responsibility: You are solely responsible for your User Content and the consequences of its publication and storage. You represent and warrant that you have all necessary rights to your User Content and that its use within the Service does not infringe upon the rights of third parties or violate any applicable laws.
3. Our Property: The Service itself, including its software, design, text, graphics, and logos, is and will remain the exclusive property of Dr. Georg Hackenberg and its licensors, and is protected by copyright, trademark, and other laws.

4. Acceptable Use Policy and Prohibited Conduct

You agree not to use the Service for any of the following purposes:

1. Uploading or distributing content that is unlawful, defamatory, harassing, abusive, hateful, racist, or otherwise objectionable.
2. Infringing on the intellectual property rights or privacy of others.
3. Distributing viruses, malware, or other malicious code.
4. Interfering with or disrupting the integrity or performance of the Service or the data contained therein.
5. Attempting to gain unauthorized access to the Service or its related systems.

We reserve the right to suspend or terminate user accounts and remove content that violates these policies.

5. Subscriptions, Fees, and Payment Terms

1. Subscriptions: Mentawise is offered in various subscription models, including a free basic version and paid plans with enhanced features (“Paid Plans”).
2. Billing: Fees for Paid Plans are billed in advance at the beginning of the respective service period (e.g., monthly or annually). Payments are processed through our third-party payment provider, Stripe.
3. Automatic Renewal: Your subscription to a Paid Plan will automatically renew at the end of each service period for another corresponding period, unless you cancel it before the renewal date.
4. Price Changes: We reserve the right to change the prices for our Paid Plans. You will be notified of any price changes with reasonable notice, at least 30 days before they take effect.
5. Changing Your Paid Plan: You can switch between different Paid Plans at any time.
   • Upgrade: When upgrading to a more expensive plan, the cost of your original plan will be refunded on a pro-rata basis for the unused portion of the service period. At the same time, the full cost of the new plan will be charged immediately. A new service period begins on this date.
   • Downgrade: When switching to a less expensive plan, the changes will take effect at the beginning of the next service period. No refunds will be issued for the current, already-paid period.
6. Cancellation: You may cancel your Paid Plan at any time. The cancellation will become effective at the end of the current service period. You can continue to use the Service to its full extent until then.

6. Changes to the Service

We are constantly working to improve our Service. Therefore, we reserve the right to modify or discontinue the Service or parts of it (including features or the availability of certain AI models) at any time, temporarily or permanently, with or without notice.

7. Termination

1. Termination by You: You can stop using the Service and delete your account at any time.
2. Termination by Us: We may suspend or terminate your access to the Service and your account at any time if you materially or repeatedly breach these Terms. We will endeavor to notify you before taking such action.

8. Disclaimer of Warranties and Limitation of Liability

1. “AS IS”: The Service is provided “as is” and “as available” without any warranty of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
2. AI Features: Content generated by AI features (Google Gemini, Google Imagen) may contain inaccuracies or errors. You use these features at your own risk and are responsible for reviewing the generated content.
3. Limitation of Liability: To the maximum extent permitted by law, Dr. Georg Hackenberg, his employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data or lost profits) arising out of or relating to your use of, or inability to use, the Service.

9. Final Provisions

1. Governing Law: These Terms shall be governed by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods.
2. Jurisdiction: The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Gmunden.
3. Severability: If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected.
4. Changes to the Terms: We may modify these Terms from time to time. We will notify you of material changes via email or through a notice on the platform. Your continued use of the Service after the changes take effect will constitute your acceptance of the amended Terms.
